Introduction

These Terms of Service govern access to and use of LEADx services.

Privacy Documents Incorporated by Reference

Use of the Services is subject to the Privacy Policy, Data Security Policy, and Trust Center materials, all incorporated by reference.

Services

LEADx provides leadership development, assessments, coaching, learning experiences, analytics, and related services.

Support

Support requests may be submitted to support@leadx.org.

Fees and Payments

Customer agrees to pay fees specified in applicable orders.

Customer Data Ownership

Customer retains ownership of Customer Data. LEADx may use Customer Data only to provide, maintain, support, secure, and improve the Services.

Privacy and Data Protection

LEADx processes Customer Data in accordance with applicable privacy laws and its Privacy Policy.

Security Commitment

LEADx maintains reasonable administrative, technical, and organizational safeguards.

Artificial Intelligence Services

Certain Services may incorporate AI technologies. AI-generated content is informational only. Customers remain responsible for decisions based on AI outputs. LEADx does not use customer data to train third-party AI models.

Confidentiality

Each party agrees to protect the other party’s confidential information.

Intellectual Property

LEADx retains ownership of its intellectual property. Customer retains ownership of Customer Data.

Third-Party Service Providers

LEADx may utilize third-party providers for hosting, analytics, communications, CRM, and payment processing.

Website Usage, Cookies, and Analytics

LEADx uses cookies, analytics tools, pixels, and similar technologies. By using the Services, users acknowledge such processing as described in the Privacy Policy.

Consent to Tracking Technologies

By accessing or using the Services, users acknowledge and agree that LEADx and its providers may collect, process, transmit, store, analyze, and share information through cookies, pixels, analytics technologies, attribution technologies, and similar tools.

Account Security

Customer is responsible for safeguarding account credentials.

Acceptable Use

Users may not violate laws, access unauthorized systems, scrape data, upload malware, or impair operation of the Services.

Educational and Development Purposes

The Services are intended for leadership development and are not medical, psychological, legal, financial, or employment advice.

Term and Termination

Either party may terminate for uncured material breach. LEADx may suspend access for violations or non-payment.

Data Retention and Deletion

Customer Data may be retained for up to 30 days after deletion or termination before deletion or anonymization.

Warranties

Services are provided 'as is' except as expressly stated.

Indemnification

Customer indemnifies LEADx for misuse of the Services. LEADx indemnifies for certain IP claims subject to limitations.

Limitation of Liability

Neither party shall be liable for indirect, incidental, consequential, punitive, exemplary, statutory, or multiple damages. Aggregate liability shall not exceed fees paid in the prior 12 months. These limitations apply to privacy, tracking, AI, and data-handling claims.

Pre-Dispute Notice and Opportunity to Cure

Before initiating proceedings, claimant must provide written notice and allow 60 days for investigation and attempted resolution.

Dispute Resolution, Arbitration, and Class Action Waiver

Disputes shall be resolved through binding arbitration on an individual basis. Class actions, collective actions, representative actions, and mass arbitrations are waived to the fullest extent permitted by law.

Tracking Technology Claims

Claims relating to cookies, pixels, analytics, attribution, communication, advertising, and tracking technologies are subject to all liability limitations and dispute-resolution provisions.

Third-Party Technology Disclaimer

LEADx is not responsible for independent privacy practices of third-party providers except as required by law.

Miscellaneous

This Agreement constitutes the entire agreement. Force majeure, severability, waiver, assignment, and independent contractor provisions apply.
